Terms of Service

Agreement to our legal terms

We are ByteMe Miami LLC, doing business as BytesPCS (“BytesPCS,” “we,” “us,” or “our”), a company registered in Florida, United States, at 5636 Johnson St, #1225, Hollywood, FL 33021.

We operate the website https://bytespcs.ai, including its Spanish pages (the “Site”), and the related services that refer or link to these legal terms (together, the “Services”).

BytesPCS helps small and mid-sized businesses put AI to work: we plan, build, roll out and support AI workflows for customer service, teamwork and back-office tasks. The Site describes those services, plays sample demo calls, and lets you ask for a free written AI plan through a form.

You can contact us by phone at (+1) 786-540-2983, by email at hello@bytespcs.ai, or by mail at 5636 Johnson St, #1225, Hollywood, FL 33021, United States.

These Legal Terms are a legally binding agreement between you, personally or on behalf of a business (“you”), and ByteMe Miami LLC, about your access to and use of the Services. By using the Services, you confirm that you have read, understood and agreed to these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU MAY NOT USE THE SERVICES AND MUST STOP USING THEM IMMEDIATELY.

We may update these Legal Terms from time to time. The updated version takes effect when we post it with a new “Last updated” date. If you continue to use the Services after that, you agree to the updated terms.

The Services are intended for users who are at least 18 years old. Persons under 18 may not use the Services or ask for a plan.

We recommend that you print or save a copy of these Legal Terms for your records.

1. Our Services

The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where that distribution or use would be against the law or would subject us to any registration requirement there. People who choose to use the Services from other locations do so on their own initiative and are responsible for complying with local laws.

The free plan form and the Site are not designed to receive information covered by industry-specific laws, such as health information under the Health Insurance Portability and Accountability Act (HIPAA) or customer financial information under the Gramm-Leach-Bliley Act (GLBA). Do not submit that kind of information through the Site. If paid work for your business will involve it, we agree in writing on how it will be handled before the work starts.

2. The free AI plan

  • Free, with no obligation. The plan is free. Asking for one does not commit you to buy anything, and it does not commit us to provide any service beyond sending the plan.
  • How it is made. Each plan is drafted with the help of an AI model and reviewed, edited and approved by a person at BytesPCS before we send it. Our Privacy Policy explains what the AI receives.
  • For information only. A plan contains general suggestions based only on what you told us. It is not legal, tax, accounting, financial, employment or other professional advice. Before you rely on a suggestion, check that it fits your business and the laws that apply to it, for example the rules on recording phone calls, customer privacy and sending text messages.
  • Estimates are not quotes. Time saved, monthly prices and vendor costs in a plan are good-faith estimates. They are not an offer, a quote or a guarantee of results. Third-party providers set and change their own prices. A price is binding only when it appears in a written proposal or agreement that we both accept.
  • Timing. We aim to send plans within 48 hours, but we do not guarantee a delivery time. We may decline a request, for example if it is incomplete, outside the kind of work we do, or abusive.
  • Using your plan. You may use your plan for your own business, including sharing it with your team or with another provider.

3. Paid work and the try-first offer

The Site describes how we usually work: we build your first workflow free, you try it for 30 days, and you pay only if you keep it, while rollout and training are paid work. These descriptions are general. The scope, price, trial terms and ownership of any work are set in a written proposal or agreement that you and we both accept. These Legal Terms do not oblige either of us to start paid work. If a signed proposal or agreement conflicts with these Legal Terms, the proposal or agreement controls for that work.

AI subscriptions from other companies, such as ChatGPT, Claude or Gemini, are billed to you directly by the provider, in your name, under that provider’s terms. We do not mark them up. We are not responsible for a provider’s service, availability, pricing or changes.

4. Demo content

The sample calls, conversations, businesses, names and phone numbers shown on the Site are fictional and are there only to illustrate how our work can look. The voices in the demo are generated by AI. The demo shows the kind of results that are possible, not a promise of any specific result for your business.

5. Intellectual property rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics in the Services (the “Content”), and the trademarks, service marks and logos in them (the “Marks”).

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services “AS IS” for your personal, non-commercial use or internal business purposes only.

Your use of our Services

As long as you comply with these Legal Terms, including the Prohibited activities section, we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and
  • download or print a copy of any part of the Content you have properly accessed,

solely for your personal, non-commercial use or internal business purposes.

Except as set out in this section or elsewhere in these Legal Terms, no part of the Services, Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise used for any commercial purpose without our express prior written permission. To ask for permission, write to hello@bytespcs.ai.

We reserve all rights not expressly granted to you in the Services, Content and Marks. Any breach of these intellectual property rights is a material breach of these Legal Terms, and your right to use the Services will end immediately.

6. What you send us

  • You keep ownership. The information you send us through the plan form or by email about your business (“Submissions”) stays yours. You give us permission to use it to prepare and send your plan, to reply to you, and as described in our Privacy Policy, including as writing examples for future plans.
  • Feedback. If you send us suggestions or ideas about our Services, we may use them freely, without any obligation to you.
  • Your responsibilities. You confirm that your Submissions are accurate, that you have the right to share them, and that they are not illegal, harassing, hateful, defamatory, obscene, threatening, false or misleading. Do not include other people’s personal information beyond what is needed to describe your business, or confidential information you are not allowed to share.
  • Our handling. We treat your Submissions as described in our Privacy Policy. We may delete any Submission that breaks these Legal Terms.

7. User representations

By using the Services, you represent and warrant that: (1) you have the legal capacity to agree to and comply with these Legal Terms; (2) you are at least 18 years old; (3) if you ask for a plan for a business, you are authorized to act for that business; (4) you will not access the Services through automated or non-human means, such as a bot or script; (5) you will not use the Services for any illegal or unauthorized purpose; and (6) your use of the Services will not violate any applicable law or regulation.

If you give us information that is untrue, inaccurate, out of date or incomplete, we may decline your request and refuse any current or future use of the Services.

8. Prohibited activities

You may not use the Services for any purpose other than the one we make them available for. As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to build a collection, database or directory without our written permission.
  • Trick, defraud or mislead us or other users.
  • Get around, disable or interfere with security features of the Services, including the form’s security check and submission limits.
  • Send false, automated or repeated plan requests, or ask for a plan on behalf of a business you are not authorized to represent.
  • Include instructions in a Submission meant to make our AI tools ignore their instructions, reveal other people’s information or produce harmful content.
  • Use any information obtained from the Services to harass, abuse or harm another person.
  • Use the Services in a way that breaks any applicable law or regulation.
  • Engage in unauthorized framing of or linking to the Services.
  • Upload or transmit viruses, Trojan horses or other material, including spam, that interferes with anyone’s use of the Services or modifies, impairs or disrupts their operation.
  • Use the Services through scripts, data mining, robots or similar data gathering and extraction tools, except standard search engine and browser use.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Impersonate another person or business.
  • Interfere with, disrupt or create an undue burden on the Services or the networks or services connected to them.
  • Harass, annoy, intimidate or threaten any of our employees or agents.
  • Copy or adapt the Services’ software, or, except as permitted by applicable law, decipher, decompile, disassemble or reverse engineer it.
  • Collect email addresses or other information about users for the purpose of sending unsolicited email.

9. Third-party websites and services

The Services may contain links to other websites (“Third-Party Websites”) and content or services that belong to third parties (“Third-Party Content”), and our plans may recommend third-party products. We do not investigate, monitor or check Third-Party Websites or Third-Party Content for accuracy, appropriateness or completeness, and we are not responsible for them, including their content, privacy practices or other policies. Linking to or recommending them does not mean we approve or endorse them. If you leave the Services to use a Third-Party Website or Third-Party Content, you do so at your own risk, and these Legal Terms no longer govern. Any purchase you make from a third party is solely between you and that third party.

10. Services management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including reporting them to law enforcement; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or delete any of your Submissions; and (4) otherwise manage the Services in a way designed to protect our rights and property and to keep the Services working properly.

11. Privacy Policy

We care about data privacy and security. Please read our Privacy Policy, which is part of these Legal Terms. The Services are hosted in the United States. If you use the Services from another region with different laws on personal data, you are transferring your data to the United States, and you consent to its transfer to and processing in the United States.

12. Term and termination

These Legal Terms remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

In addition, we reserve the right to take appropriate legal action, including civil, criminal and injunctive remedies.

13. Modifications and interruptions

We may change, modify or remove the contents of the Services at any time and for any reason, without notice. However, we have no obligation to update any information on the Services. We will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may have hardware, software or other problems, or need to perform maintenance, which can cause interruptions, delays or errors. You agree that we have no liability for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance. Nothing in these Legal Terms obliges us to maintain and support the Services or to supply any corrections, updates or releases.

14. Governing law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Florida applicable to agreements made and to be entirely performed within the State of Florida, without regard to its conflict of law principles.

15. Dispute resolution

Informal negotiations

To speed up resolution and control the cost of any dispute, controversy or claim related to these Legal Terms (each a “Dispute”), brought by either you or us (each a “Party”), the Parties agree to first try to negotiate any Dispute (except those Disputes expressly listed below) informally for at least thirty (30) days before starting arbitration. Informal negotiations start when one Party gives the other written notice.

Binding arbitration

If the Parties cannot resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration will be started and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both available on the AAA website. Your arbitration fees and your share of arbitrator compensation are governed by, and where appropriate limited by, the AAA Consumer Rules. If the arbitrator decides those costs are excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but does not need to give reasons unless either Party asks. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Unless the applicable AAA rules or law require otherwise, the arbitration will take place in Florida, United States.

If for any reason a Dispute proceeds in court rather than arbitration, it will be started and pursued in the state and federal courts located in Florida, United States, and the Parties consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens for, venue and jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Legal Terms.

No Dispute brought by either Party related in any way to the Services may be started more than two (2) years after the cause of action arose. If this provision is found to be illegal or unenforceable, neither Party will choose to arbitrate any Dispute covered by the part found illegal or unenforceable, and that Dispute will be decided by a court of competent jurisdiction among the courts listed above, and the Parties agree to submit to that court’s personal jurisdiction.

Restrictions

The Parties agree that any arbitration will be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration will be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to informal negotiations and arbitration

The Parties agree that the following Disputes are not subject to the provisions above on informal negotiations and binding arbitration: (a) any Dispute seeking to enforce or protect, or concerning the validity of, any of a Party’s intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for injunctive relief.

16. Corrections

The Services may contain typographical errors, inaccuracies or omissions, including in descriptions, pricing and availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information on the Services at any time, without prior notice.

17. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE OF THEM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. CONTENT PREPARED WITH THE HELP OF AI, INCLUDING FREE PLANS, MAY CONTAIN ERRORS OR OMISSIONS EVEN AFTER HUMAN REVIEW. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES, AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND ANY PERSONAL INFORMATION STORED ON THEM, (4) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) BUGS, VIRUSES, TROJAN HORSES OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, OR (6) ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED, RECOMMENDED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY LINKED WEBSITE, AND WE WILL NOT BE A PARTY TO OR RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDER OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

18. Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE LEGAL TERMS, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD BEFORE ANY CAUSE OF ACTION AROSE. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

19. Indemnification

You agree to defend, indemnify and hold us harmless, including our subsidiaries, affiliates and all of our officers, agents, partners and employees, from and against any loss, damage, liability, claim or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Submissions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) any breach of your representations and warranties in these Legal Terms; or (5) your violation of the rights of a third party, including intellectual property rights. Despite the above, we reserve the right, at your expense, to take over the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action or proceeding once we become aware of it.

20. User data

We keep the data you send to the Services, and data about your use of the Services, as described in our Privacy Policy, including deleting plan requests after 12 months. You are responsible for keeping your own copy of anything you send us and of the plans we send you. You agree that we have no liability to you for any loss or corruption of that data, and you waive any right of action against us arising from it.

21. Electronic communications, transactions and signatures

Visiting the Services, sending us emails and completing online forms are electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically, by email and on the Services, satisfy any legal requirement that such communication be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS STARTED OR COMPLETED BY US OR THROUGH THE SERVICES. You waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction that require an original signature, delivery or retention of non-electronic records, or payments or the granting of credits by means other than electronic means.

22. California users and residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

23. Miscellaneous

These Legal Terms and any policies or operating rules we post on or about the Services are the entire agreement and understanding between you and us about the Services, except for any written proposal or agreement for paid work described in Section 3. Our failure to exercise or enforce any right or provision of these Legal Terms does not waive that right or provision. These Legal Terms operate to the fullest extent permitted by law. We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is found to be unlawful, void or unenforceable, that provision or part is considered severable and does not affect the validity and enforceability of the remaining provisions. These Legal Terms create no joint venture, partnership, employment or agency relationship between you and us. You agree that these Legal Terms will not be construed against us because we drafted them. You waive any defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties.

We publish these Legal Terms in English and Spanish. If the two versions conflict, the English version controls.
